If there is any conflict between these Terms and an Order, the Order governs for that engagement.
2. Eligibility and accounts
You must have the authority to enter into these Terms, on your own behalf or on behalf of an organisation. If we provide you with access credentials, you are responsible for keeping them secure and for activity that occurs under your account.
3. Acceptable use
You agree not to:
- Use the website or services for any unlawful or harmful purpose;
- Interfere with or disrupt the integrity or performance of the services;
- Attempt to gain unauthorised access to any systems or data;
- Reverse engineer or copy our software except as permitted by law; or
- Infringe the intellectual property or other rights of any party.

As between you and Neuralcraft, you retain all rights to the data and content you provide to us. You grant us the limited rights needed to perform the services. We retain all rights to our website, software, methods, and pre-existing materials. Ownership of deliverables created specifically for you is set out in the applicable Order. Nothing in these Terms transfers ownership of our underlying tools, know-how, or general improvements.

Each party may receive confidential information from the other. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms or an Order, except where disclosure is required by law.
7. Fees and payment
Fees, if any, are set out in the applicable Order. Unless stated otherwise, invoices are due within the period specified in the Order, and fees are exclusive of applicable taxes.
8. Disclaimers
Except as expressly stated in an Order, the website and services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted or error-free.
9. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total liability arising out of or relating to these Terms or an Order will not exceed the amounts paid to us for the engagement giving rise to the claim in the twelve months before the claim arose, unless an Order states otherwise.
10. Indemnification
You agree to indemnify and hold Neuralcraft harmless from claims arising out of your misuse of the website or services, your data or content, or your breach of these Terms, except to the extent caused by our own breach or negligence.
11. Term and termination
These Terms apply while you use our website or services. We may suspend or terminate access if you breach these Terms or if needed to protect the services or other users. Termination of any engagement is governed by the applicable Order. Provisions that by their nature should survive termination will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “last updated” date above. Your continued use of the website or services after changes take effect constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts located in Trivandrum, India will have jurisdiction over any disputes, unless an Order specifies otherwise.
